Terms and Conditions
1. Introduction
By using the services offered by PIP (UK) Limited, hereafter InvestUS, including but not limited to the InvestUS website, the user of such services, hereafter User, confirms they have the legal authority to accept the following Terms and Conditions and User agrees to be bound by them. InvestUS reserves the right to change Terms and Conditions from time to time. It is the User responsibility to check the Terms and Conditions before using any of the services offered.
2. Scope of Terms
These conditions apply to all offers made by InvestUS and shall apply to orders from User's to whom these conditions have been communicated, unless expressly stated otherwise in writing.
3. Agreement
Any offers made by InvestUS are not binding unless they are expressly declared as such in the written offer. A contract shall come into force only when InvestUS has accepted an order in writing (as confirmation of order) or when the order has been fulfilled. The content of the contract shall be determined by the written confirmation of order, where such exists. Spoken agreements shall only be deemed valid if they are confirmed in writing. Such confirmation may only be issued by InvestUS. InvestUS reserves the right to rectify at any time any errors made in an offer, invoice or communication, such as errors in typing or calculations and the results deriving therefrom. The specific properties and performance of products as published shall only be deemed to be 'guaranteed features' if an express written undertaking is included in the contract or confirmation of order.
4. Intellectual property rights
Unless otherwise stated, InvestUS or our licensors own the intellectual property rights in published documentation including but not limited to seminar material and the InvestUS website. Subject to the licence below, all these intellectual property rights are reserved.
5. Trade Marks
InvestUS is a trade mark or registered trade mark of PIP (UK) Limited in the UK and/or other countries. Other product or company names mentioned may be the trademarks or registered trademarks of their respective owners.
6. Extent of use
User may view published material and/or download from the InvestUS website for caching purposes only, and print pages or download documents from the InvestUS website for User's own personal use, subject to the restrictions below.
User may not;
(a) republish material such material (including republication on another website);
(b) sell, rent or otherwise sub-license such material;
(c) show any such material in public;
(d) reproduce, duplicate, copy or otherwise exploit such material commercially
(e) edit or otherwise modify such material; or
(f) redistribute material except for content specifically made for the purpose. Where content is specifically made available for redistribution, it may only be redistributed within the User's home or business.
7. Restrictions
Within three years of a User being presented with an investment opprortunity, User may not;
(a) engage in any capacity directly with a supplier or developer originally introduced to User by InvestUS;
(b) engage with a supplier or developer over new investment opportunities,
(c) if User or a member of User's staff refers an investment opportunity introduced to User by InvestUS to another person, or operation and engages in any capacity direct with the supplier or developer of the opportunity, then User will be liable for the potential brokerage fees InvestUS have lost as a result.
8. Limitations of warranties and liability
Whilst InvestUS endeavour to ensure that published information is correct, InvestUS do not warrant its completeness or accuracy; nor do InvestUS commit to ensuring that the information remains available or that the material is kept up-to-date. To the maximum extent permitted by applicable law InvestUS exclude all representations, warranties and conditions relating to published material and its use (including, without limitation, any warranties implied by law of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill). Nothing in this document (or elsewhere in InvestUS published material) will exclude or limit InvestUS liability for fraud, for death or personal injury caused by our negligence, or for any other liability which cannot be excluded or limited under applicable law. Subject to this, InvestUS liability to you in relation to the use of our material or under or in connection with this document, whether in contract, tort (including negligence) or otherwise, will be limited as follows:
(a) to the extent that the published material and the information and services are provided free-of-charge, InvestUS will not be liable for any loss or damage of any nature;
(b) InvestUS will not be liable for any consequential, indirect or special loss or damage;
(c) InvestUS will not be liable for any loss of profit, income, revenue, anticipated savings, contracts, business, goodwill, reputation, data, or information.
9. Revision
InvestUS may revise this document from time-to-time. The revised document will apply to the use of InvestUS published material from the date of the publication. It is the responsibility of the User to undertake due diligence, enquiries and inspections.
10. This Agreement
This document, including Schedule A ' Privacy Policy', constitutes the entire agreement between InvestUS and User in relation to User use of InvestUS published material and supersedes all previous agreements in respect of User use of published material.
11. Invalidity of one provision
The invalidity or inoperativeness of one or more provisions of this Agreement does not affect the validity of the rest of the Agreement and the remaining other provisions shall thereby remain unaffected. An invalid provision shall be replaced by a provision that approaches the interests intended by the parties.
12. Law and jurisdiction
This document will be governed by and construed in accordance with English law, and any disputes relating to this disclaimer will be subject to the exclusive jurisdiction of the courts of England and Wales.
